This document is an electronic record in terms of the Information Technology Act, 2000 and rules thereunder as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
1. The Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," or "you") and Urbane Labs ("Zero," "we," "us," or "our"), a proprietary firm having its principal place of business in Bangalore, Karnataka, India, operating the Zero platform at zero.urbanelabs.xyz.
Zero is a B2B SaaS data infrastructure platform that automates European REACH chemical compliance—specifically enforcement of the CJEU C-106/14 "Once an Article, Always an Article" (O5A) ruling under Regulation (EC) No. 1907/2006—and generates ESPR-compliant Digital Product Passports (DPPs). By accessing our dashboard, API, IUCLID export tools, REACH O5A recursive calculator, AI-powered ingestion engine, or any related services, you agree to be bound by these Terms. If you accept these Terms on behalf of a business entity, you warrant that you possess the legal authority to bind that entity to this Agreement.
2. Nature of the Service
Zero provides software tools, including AI-driven multimodal OCR extraction (via Gemini), recursive REACH O5A threshold calculation logic, SVHC Candidate List cross-referencing, confidence scoring, and automated .i6z IUCLID dossier generation for the ECHA SCIP portal. These are data harmonization and compliance automation utilities, not legal advice, regulatory consulting, or certified laboratory analysis.
The Customer (or the Customer's client, where the Customer is a compliance consultancy) remains the sole "Duty Holder" under REACH Regulation (EC) No. 1907/2006 Article 33, the EU Waste Framework Directive (SCIP notification obligations), and ESPR Article 4. Zero disclaims all liability for customs seizures, ECHA enforcement actions, regulatory fines, port destruction fees, market exclusions, or supply chain disruptions resulting from the Customer's reliance on platform-generated outputs without independent verification.
No Warranty of Regulatory Acceptance
Zero's AI extraction confidence scores, automated SVHC threshold calculations (including wet-applied evaporation factor adjustments where Cfinal = (Mw / (Ma × fvs)) × 100), and generated .i6z dossiers are computational outputs. They do not constitute a guarantee that ECHA, EU Member State market surveillance authorities, or any customs authority will accept the data as compliant. The Customer is solely responsible for Human-in-the-Loop (HITL) review and final validation before submission to any regulatory body.
3. Data Integrity & Record Keeping
You acknowledge that Zero maintains detailed compliance provenance logs, HITL review actions, and generated Digital Product Passport (DPP) metadata for regulatory audit purposes. Accurate record-keeping is a fundamental requirement under EU compliance frameworks.
You assume total liability for ensuring that no sensitive trade secrets, unauthorized proprietary data, Personally Identifiable Information (PII), or inaccurate SVHC concentration data are written into compliance records intended for public or regulatory submission. Once a compliance record is finalized and submitted to ECHA or equivalent authorities, amending or removing such data is subject to the strict rules of those respective regulatory bodies.
4. Payments & Billing
Urbane Labs is the Merchant of Record for all transactions. Payments are processed securely via Stripe.
- Subscription: The standard platform subscription is €699/month per consultancy seat. Pricing is designed to fall within typical CapEx approval thresholds for boutique EU compliance firms.
- Currency: Payments are processed in EUR (Euros) for EU-based entities and INR (Indian Rupees) for Indian entities. Applicable currency conversion is handled by Stripe at prevailing rates.
- GST Compliance: For customers based in India, Goods and Services Tax (GST) will be levied at the applicable rates (currently 18%) on top of the subscription fee.
- No Refunds: Subscription fees are non-refundable. Upon cancellation, your access remains active until the end of the current billing period. No pro-rata refunds are issued unless required by specific consumer protection laws applicable to your jurisdiction.
Pilot Agreements: Fees paid for "Free 10-SKU Concierge Pilot" engagements are complimentary. Any paid pilot or "Rescue Sprint" fees are strictly for software access and data processing execution, and do not guarantee acceptance of the generated .i6z dossiers by ECHA, national market surveillance authorities, or any regulatory body.
5. Governing Law & Dispute Resolution
Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without reference to conflict of laws principles. Notwithstanding the Indian governing law, the parties acknowledge that the platform facilitates compliance with EU Regulation (EC) No. 1907/2006 (REACH) and EU Regulation 2024/1781 (ESPR); references to these frameworks are descriptive and do not constitute a choice of EU law for contractual disputes.
Exclusive Jurisdiction: Subject to the arbitration clause below, the courts in Bangalore, Karnataka shall have exclusive jurisdiction over any disputes arising from these Terms.
Arbitration Agreement
Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by a sole arbitrator appointed by Urbane Labs in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The seat and venue of arbitration shall be Bangalore, India. The language of the arbitration shall be English.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Urbane Labs, its founder, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, ECHA regulatory fines, customs seizures at EU ports of entry, SVHC-related product destruction fees, supply chain disruptions, Professional Indemnity Insurance (PII) claims against the Customer, or data loss arising from AI extraction inaccuracies. In no event shall Urbane Labs' total cumulative liability exceed the total subscription fees actually paid by you to Urbane Labs in the three (3) months immediately preceding the event giving rise to the claim.
7. Intellectual Property Rights
Urbane Labs retains all ownership, title, and interest in and to the Zero platform, including all proprietary AI extraction models, multimodal OCR pipelines, the REACH O5A recursive calculator engine, IUCLID .i6z generation logic, confidence scoring algorithms, the Atlas RAG copilot, HITL review desk interface, dashboard interfaces, and underlying source code. By accessing our services, you are granted a limited, non-exclusive, non-transferable, and revocable license to use the platform solely for generating, reviewing, and managing REACH compliance assessments and Digital Product Passports for your organization or your clients. You acquire no ownership rights over the Zero software or infrastructure. Customer-uploaded data (BOMs, MSDSs, certificates) remains the Customer's property at all times.
8. Prohibited Activities
You agree not to misuse the Zero infrastructure. Prohibited actions include, but are not limited to:
- Reverse-engineering: Decompiling, disassembling, or attempting to extract the source code, AI models, confidence scoring algorithms, or REACH calculation logic of our platform.
- Data Extraction: Scraping, data-mining, or using automated bots to extract data from our dashboard, APIs, or ECHA-formatted outputs outside of your permitted rate limits.
- Competitive Use: Using the platform, its outputs, or any derivative insights to build a competing REACH compliance product, chemical regulatory SaaS, or DPP infrastructure service.
- Malicious Acts: Injecting malicious code, prompt-injection attacks via hostile supplier PDFs/CSVs, or intentionally overloading our ingestion pipeline.
- Cross-Tenant Access: Attempting to access, read, or modify data belonging to another tenant or their underlying brand clients.
9. Indemnification
You agree to defend, indemnify, and hold harmless Urbane Labs, its founder, and affiliates from any claims, damages, liabilities, ECHA regulatory fines, customs penalties, and legal fees arising from your use of the platform. This includes, but is not limited to, claims arising from: (a) your submission of inaccurate SVHC concentration data or BOM compositions to any regulatory body using platform-generated .i6z files; (b) your failure to perform HITL review before regulatory submission; (c) your upload of unauthorized proprietary data or trade secrets without proper authorization from data owners; or (d) denominator errors arising from your override of platform-calculated sub-article threshold divisions.
10. Account Suspension and Termination
Urbane Labs reserves the unilateral right to suspend, revoke API access, or permanently terminate your account at any time, without prior notice or liability, if we determine that you have violated these Terms, engaged in prohibited activities, or posed a security risk to our infrastructure or other tenants. Upon termination: (a) no refunds will be issued for remaining subscription periods; (b) you will lose access to the platform interface, HITL review desk, and Atlas copilot; and (c) your draft data will be retained for 90 days before secure deletion.
11. Data Processing & Confidentiality
Zero processes supply chain compliance data (BOMs, MSDSs, test certificates, supplier declarations) strictly as a Data Processor on behalf of the Customer (Data Controller/Fiduciary). We do not use Customer-uploaded compliance documents to train foundational AI models, and we do not share or sell this data to third parties.
We employ strict tenant isolation architecture. All tenant data is cryptographically separated and processed via SOC2-compliant cloud infrastructure providers. No cross-tenant reads or writes are permitted at any layer of the stack, ensuring your proprietary trade secrets are securely handled.
